• The Platform may experience periods of unavailability or degraded performance.

2. Description of Service

The Accel.AI Talent Platform is a talent discovery and sourcing tool designed to help organizations identify and engage with AI/ML professionals, with a focus on diverse and underrepresented talent communities. The Platform aggregates publicly available profile information from third-party sources including GitHub, Kaggle, HuggingFace, and community organizations.

3. No Guarantee of Sourcing or Hiring Outcomes

Use of the Platform does not guarantee any hiring or sourcing outcome. Specifically:

• We do not guarantee that candidates discovered through the Platform are actively seeking employment.
• We do not guarantee that outreach to candidates will result in a response, interview, or hire.
• Candidate availability, interest, and qualifications are beyond our control and subject to change at any time.
• The Platform is a discovery and workflow tool only — all hiring decisions remain solely the responsibility of the user.

4. Candidate Information Disclaimer

We do not verify candidate information. Candidate profiles on the Platform are compiled from publicly available sources and processed using automated tools including artificial intelligence. As a result:

• Profile data, skills, and credentials may be inaccurate, incomplete, or out of date.
• AI-generated summaries and skill extractions are provided for convenience only and should not be relied upon as verified facts.
• Relevance scores and role classifications are algorithmic estimates, not professional assessments.
• Users are solely responsible for independently verifying any candidate information before making hiring decisions.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform to discriminate against candidates on the basis of race, color, national origin, sex, disability, religion, age, or any other protected characteristic.
• Use candidate data for any purpose other than legitimate talent sourcing and recruitment.
• Share, sell, or redistribute candidate profile data obtained through the Platform to third parties.
• Attempt to reverse engineer, scrape, or otherwise extract data from the Platform in bulk.
• Use the Platform in any manner that could damage, disable, or impair the Platform or interfere with others' use of it.

6. Data Privacy and Compliance

Users are responsible for ensuring their use of the Platform complies with all applicable privacy laws including but not limited to GDPR, CCPA, and applicable employment laws in their jurisdiction. Candidate profiles may include personal information sourced from public platforms. You agree to handle such information in accordance with applicable law and with respect for individuals' privacy.

7. Intellectual Property

The Platform, including its design, software, and original content, is owned by Accel.AI and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during the term of these Terms.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCEL.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
